Supplier Code of Conduct

Universal Scientific Industrial Co., Ltd., its subsidiaries, and affiliated companies (hereinafter referred to as “USI”) are responsible corporate citizens committed to ensuring that all business conduct meets the highest standards of professionalism and ethics. We believe that the Company's long term operation and success depend upon sustainable development and the fulfillment of corporate social responsibility. As an important extension of USI's business value chain, the supply chain plays a critical role in achieving these goals. Therefore, we actively promote supply chain development to ensure that suppliers, contractors, service providers, and subcontractors (collectively referred to as “Suppliers”) work together to achieve sustainable development objectives.

To ensure safe working conditions throughout the supply chain, protect workers' rights and dignity, promote environmental protection, and uphold ethical business practices, USI has established this Supplier Code of Conduct (hereinafter referred to as the “Code”). The Code is developed with reference to the Supplier Code of Conduct of ASE Technology Holding Co., Ltd., as well as internationally recognized principles and standards, including the OECD Guidelines for Multinational Enterprises, the United Nations Guiding Principles on Business and Human Rights, the Universal Declaration of Human Rights, the ILO Declaration of Fundamental Principles and Rights at Work, and the ILO Fundamental Conventions. This Code requires Suppliers to conduct their business activities in compliance with standards relating to labor, health and safety, environmental protection, business ethics, and management systems, and to fully comply with the laws and regulations of the countries and regions in which they operate. Suppliers shall require their own suppliers, contractors, service providers, and subcontractors to adopt and comply with this Code. Supplier compliance with this Code will serve as an important basis for USI's supplier management, qualification assessments, and procurement decisions.

This Code consists of five sections. Sections A, B, and C outline standards relating to Labor, Health and Safety, and Environment, respectively. Section D sets forth standards of Business Ethics, while Section E outlines the essential elements of an appropriate Management System necessary to implement this Code effectively.
